1. Introduction

These Terms and Conditions govern access to and use of the FOMI platform, related services, and the website located at fomi.trade.

By accessing or using the service, you agree to be bound by these terms. If you do not agree, do not use the service.

2. Operator / Company Information

The service is operated by FOMI LLC, a Florida limited liability company.

3. Definitions

“Website” means fomi.trade and any pages operated under that domain. “Service” means the website, the FOMI application, and related features. “Exchange” means any third-party trading venue or broker you connect to.

4. Eligibility and Account Responsibility

You must be legally able to form a binding contract in your jurisdiction. You are responsible for safeguarding your credentials and all activity under your account.

5. Use of Service

FOMI provides tools to help users enforce self-defined trading rules. All trading decisions and outcomes remain solely your responsibility.

You are responsible for reviewing orders, positions, alerts, account state, market data, and any automated risk controls before relying on them.

6. No Financial Advice

The service is for educational and informational purposes only and does not constitute investment, legal, tax, or financial advice.

7. Regulatory Status and Non-Custodial Nature

FOMI is not a broker, dealer, exchange, investment adviser, or fiduciary. FOMI does not custody funds, execute withdrawals, or hold user assets.

8. Subscription and Billing

The service is subscription-based. Fees, billing cycles, and renewal terms are shown at checkout. Payments are processed by Stripe, and FOMI may store Stripe customer, subscription, invoice, checkout, webhook, and billing-status records needed to operate paid access and reconcile account state.

Payments are non-refundable except where required by law or expressly stated otherwise. Self-service cancellation, reactivation, and plan changes are available only for billing states supported by the application and Stripe configuration.

9. API Key Usage and Exchange Connections

You are solely responsible for configuring exchange API keys and should never enable withdrawal permissions. FOMI is designed for non-custodial operation and does not require withdrawal authority.

When you connect an exchange, FOMI may process encrypted API credentials, account balances, instruments, tickers, open orders, positions, executions, and trade outcomes to power trading, risk, journal, alert, and Guardian features.

10. Guardian and Automated Risk Controls

By enabling Guardian or automated risk controls, you authorize FOMI to send supported risk-reduction instructions on your behalf, including canceling orders, closing positions, or adjusting stop-loss behavior where supported.

Guardian and automation features operate on a best-effort basis and may be delayed, unavailable, rejected by an exchange, or affected by market conditions, provider outages, credentials, permissions, or application errors.

11. Platform Availability and Restrictions

Certain exchanges may restrict access based on location or regulation. You are solely responsible for compliance with applicable laws.

FOMI may restrict, suspend, or refuse access in jurisdictions, account types, market venues, or use cases where legal, regulatory, exchange, operational, or risk requirements are not satisfied.

12. Risk Acknowledgment

Trading involves substantial risk, including liquidation and total loss of capital. Leveraged futures and derivatives can lose money quickly.

FOMI does not guarantee market data accuracy, execution, order acceptance, alert delivery, Guardian action, profitability, risk reduction, performance, uptime, or availability.

13. Chart Snapshots and Shared Content

If you create or share chart snapshots, you are responsible for the information shown in those images and links. Snapshot share links may expose chart state, symbols, drawings, annotations, prices, and related trading context to anyone with the link until revoked or expired.

FOMI may apply retention limits, expiration, revocation, or deletion to snapshots and shared links for privacy, security, or operational reasons.

14. Limitation of Liability

To the fullest extent permitted by law, FOMI shall not be liable for indirect, incidental, consequential, or punitive damages.

Total liability shall not exceed the greater of $100 or the amounts paid by you in the prior three months.

15. Indemnification

You agree to indemnify and hold harmless FOMI from claims arising from your use of the service or violation of these terms.

16. Intellectual Property

All content and software are owned by FOMI or its licensors. No rights are granted except as expressly stated.

17. Feedback

Any feedback you provide may be used by FOMI without restriction or compensation.

18. Termination

FOMI may suspend or terminate access if you violate these terms or create legal or operational risk.

Expired, canceled, suspended, or otherwise restricted accounts may be limited from opening new positions or increasing exposure, while risk-reduction actions may remain available where technically and operationally supported.

19. Force Majeure

FOMI is not liable for delays or failures caused by events beyond reasonable control, including outages, regulatory actions, or exchange failures.

20. Governing Law and Venue

These terms are governed by Florida law. Any disputes shall be brought in courts located in Florida.

21. Entire Agreement and Severability

These terms constitute the entire agreement. If any provision is held unenforceable, the remainder remains effective.
