1. Introduction

These Terms and Conditions govern access to and use of the FOMI platform, related services, and the website located at fomi.trade.

By accessing or using the service, you agree to be bound by these terms. If you do not agree, do not use the service.

These terms apply together with any checkout terms, product notices, risk acknowledgments, and policies that FOMI presents in connection with the service.

2. Operator / Company Information

The service is operated by FOMI LLC, a Florida limited liability company.

For support, legal, privacy, or security inquiries, contact support@fomi.trade.

3. Definitions

"Website" means fomi.trade and any pages operated under that domain. "Service" means the website, the FOMI application, APIs, software, content, support, billing flows, notifications, chart snapshots, Guardian features, and related functionality. "Exchange" means any third-party trading venue, broker, market-data provider, or account provider you connect to or use with FOMI.

"Guardian" means FOMI features designed to evaluate configured trading rules and, where supported, submit risk-reduction or trade-management instructions. "User Content" means data, settings, snapshots, drawings, annotations, checklist content, uploads, support messages, and other material you provide or generate through the service.

4. Eligibility and Account Responsibility

You must be at least 18 years old, legally able to form a binding contract, and permitted to use trading tools and connected exchanges in your jurisdiction.

You may not use the service if you are subject to sanctions, export-control restrictions, exchange restrictions, or other legal limitations that prohibit your use of FOMI or any connected exchange.

You are responsible for safeguarding your account, passwords, MFA devices, exchange credentials, API keys, devices, and all activity under your account. You must promptly notify FOMI if you believe your account or credentials have been compromised.

You may not share, transfer, sell, or sublicense your account or use the service on behalf of another person unless you have legal authority and FOMI permits that use in writing.

5. Use of Service

FOMI provides tools to help users enforce self-defined trading rules. All trading decisions and outcomes remain solely your responsibility.

You are responsible for reviewing orders, positions, alerts, account state, market data, and any automated risk controls before relying on them.

You agree not to misuse the service, interfere with its operation, bypass security or risk controls, reverse engineer non-public parts of the service, scrape or harvest data without permission, access accounts or systems without authorization, resell the service, submit malicious code, overload infrastructure, or use FOMI for unlawful, abusive, deceptive, manipulative, or market-abusive activity.

6. No Financial Advice

The service is for educational and informational purposes only and does not constitute investment, legal, tax, or financial advice.

FOMI does not recommend trades, strategies, assets, position sizes, leverage levels, exchanges, brokers, tax treatment, or investment decisions. FOMI does not determine whether trading, futures, derivatives, margin, leverage, or digital assets are suitable for you.

You should consult qualified financial, legal, tax, and compliance professionals before making trading or investment decisions.

7. Regulatory Status and Non-Custodial Nature

FOMI is not a broker, dealer, futures commission merchant, introducing broker, commodity trading advisor, commodity pool operator, exchange, clearing agency, money transmitter, bank, investment adviser, or fiduciary.

FOMI does not custody funds, execute withdrawals, hold user assets, clear trades, maintain exchange accounts for users, or provide regulated brokerage or advisory services.

Funds, positions, collateral, margin, and assets remain with your connected exchange or account provider and are subject to that provider's terms, fees, rules, liquidation engine, outages, restrictions, and risk controls.

8. Subscription and Billing

The service is subscription-based. Fees, billing cycles, and renewal terms are shown at checkout. Payments are processed by Stripe, and FOMI may store Stripe customer, subscription, invoice, checkout, webhook, and billing-status records needed to operate paid access and reconcile account state.

Subscriptions renew automatically unless canceled before the next billing period. Cancellation stops future renewal but does not guarantee a refund, credit, or prorated refund for the current period unless required by law or expressly stated at checkout.

Trials may convert to paid subscriptions according to the terms shown at checkout. FOMI may change prices, plan features, or billing terms prospectively with notice where required.

You are responsible for taxes, payment-method validity, failed payments, chargebacks, and any fees imposed by your payment provider. FOMI may suspend or limit paid features when payment fails, a chargeback occurs, fraud is suspected, or billing access cannot be verified.

Self-service cancellation, reactivation, and plan changes are available only for billing states supported by the application and Stripe configuration.

8A. FOMI AI Credits

FOMI AI Credits are a prepaid internal service balance used for FOMI AI processing and related FOMI services. They are separate from ChatGPT subscriptions, OpenAI Platform credits, subscription fees, cash, deposits, and exchange balances.

AI Credit purchases are final and non-refundable except where a refund is required by applicable law. Payment-network disputes, chargebacks, fraud controls, or legally required reversals may reduce the balance, create a balance due, or temporarily freeze AI access.

FOMI AI may be temporarily unavailable when you purchase credits. Purchased credits remain recorded in your account for later eligible use; purchase does not guarantee a particular model, response time, uninterrupted availability, or restoration time.

Each AI request may reserve a disclosed maximum amount before processing. FOMI releases unused reserved credit after successful settlement. Actual usage rates may include provider processing, tools, and FOMI service costs and may change prospectively.

9. API Key Usage and Exchange Connections

You are solely responsible for configuring exchange API keys and should never enable withdrawal permissions. FOMI is designed for non-custodial operation and does not require withdrawal authority.

When you connect an exchange, FOMI may process encrypted API credentials, account balances, instruments, tickers, open orders, positions, executions, and trade outcomes to power trading, risk, journal, alert, and Guardian features.

You authorize FOMI to use the exchange credentials you provide to request account information and, where enabled and supported, submit trading, cancellation, position-management, stop-loss, take-profit, leverage, and risk-reduction instructions.

You are responsible for exchange permissions, IP restrictions, subaccount configuration, API limits, account mode, margin mode, leverage settings, balances, open exposure, and any consequences of granting or revoking API access.

10. Guardian and Automated Risk Controls

By enabling Guardian or automated risk controls, you authorize FOMI to send supported risk-reduction instructions on your behalf, including canceling orders, closing positions, or adjusting stop-loss behavior where supported.

Guardian and automation features operate on a best-effort basis and may be delayed, unavailable, rejected by an exchange, or affected by market conditions, provider outages, credentials, permissions, or application errors.

Orders, cancellations, close commands, stop-loss changes, take-profit changes, leverage changes, and other instructions may execute at unexpected prices, partially fill, fail, be rejected, be duplicated by provider behavior, arrive after market movement, or conflict with exchange-side state.

FOMI does not guarantee that Guardian will prevent losses, liquidations, overexposure, revenge trading, unauthorized account activity, exchange errors, or violations of your trading plan.

11. Platform Availability and Restrictions

Certain exchanges may restrict access based on location or regulation. You are solely responsible for compliance with applicable laws.

FOMI may restrict, suspend, or refuse access in jurisdictions, account types, market venues, or use cases where legal, regulatory, exchange, operational, or risk requirements are not satisfied.

FOMI may modify, disable, rate-limit, deprecate, or discontinue features, integrations, providers, plans, or supported regions at any time where necessary for security, compliance, product, operational, or risk reasons.

12. Risk Acknowledgment

Trading involves substantial risk, including liquidation and total loss of capital. Leveraged futures and derivatives can lose money quickly.

FOMI does not guarantee market data accuracy, execution, order acceptance, alert delivery, Guardian action, profitability, risk reduction, performance, uptime, or availability.

Trading digital assets, futures, derivatives, margin products, and leveraged products can be highly volatile, speculative, illiquid, and unsuitable for many users. You may lose some or all of your capital, and some products may create losses beyond your initial amount at risk.

Market data, calculations, charts, risk metrics, PnL, balances, and performance information may be delayed, incomplete, inaccurate, stale, rounded, or inconsistent with exchange records. Exchange records control where there is a conflict.

13. Chart Snapshots and Shared Content

If you create or share chart snapshots, you are responsible for the information shown in those images and links. Snapshot share links may expose chart state, symbols, drawings, annotations, prices, and related trading context to anyone with the link until revoked or expired.

FOMI may apply retention limits, expiration, revocation, or deletion to snapshots and shared links for privacy, security, or operational reasons.

You grant FOMI a non-exclusive, worldwide, royalty-free license to host, store, copy, process, display, transmit, and create technical derivatives of User Content solely to operate, secure, support, improve, and provide the service.

You represent that you have the rights needed to provide User Content and that your User Content does not violate law, third-party rights, exchange rules, confidentiality duties, or these terms.

14. Third-Party Services

The service depends on third parties such as exchanges, market-data providers, hosting providers, payment processors, email providers, analytics tools, browser/device platforms, and network providers.

FOMI is not responsible for third-party terms, outages, errors, delays, restrictions, security incidents, data practices, fee changes, liquidation engines, margin systems, account actions, API changes, or provider decisions.

15. Beta and Experimental Features

Some features may be released as beta, preview, experimental, or limited-availability features. These features may be incomplete, less reliable, changed, removed, or limited without notice.

You should not rely on beta or experimental features for critical trading, compliance, tax, accounting, or risk-management decisions.

16. Privacy, Security, Export, and Deletion

FOMI's Privacy Policy explains how FOMI processes personal data. By using the service, you acknowledge that FOMI will process data as described in the Privacy Policy.

Account deletion may delete or anonymize FOMI-controlled account data, revoke local sessions, remove local exchange credentials, and revoke local snapshot links. Stripe, exchanges, and other third parties may retain records under their own legal, accounting, tax, fraud-prevention, chargeback, security, and compliance obligations.

No security program is perfect. You remain responsible for your device security, exchange account security, API-key permissions, passwords, MFA, and prompt review of account activity.

17. Intellectual Property

All content, software, designs, trademarks, logos, workflows, documentation, and technology in the service are owned by FOMI or its licensors. No rights are granted except as expressly stated.

You may not copy, modify, distribute, sell, lease, reverse engineer, or create competing products from the service except where applicable law prohibits that restriction.

18. Copyright Complaints

If you believe content on the service infringes your copyright, contact support@fomi.trade with enough information to identify the work, the allegedly infringing material, your contact information, and a statement that you are authorized to act.

FOMI may remove content and terminate repeat infringers where appropriate.

19. Feedback

Any feedback, ideas, suggestions, or improvements you provide may be used by FOMI without restriction, attribution, or compensation.

20. Termination

FOMI may suspend, restrict, or terminate access if you violate these terms, create legal, security, operational, billing, reputational, or trading risk, or if continued access may violate law, exchange rules, provider terms, or FOMI policy.

Expired, canceled, suspended, or otherwise restricted accounts may be limited from opening new positions or increasing exposure, while risk-reduction actions may remain available where technically and operationally supported.

You may stop using the service at any time. Termination does not affect accrued payment obligations, legal rights, dispute provisions, liability limits, indemnity obligations, intellectual-property rights, or provisions that by nature should survive.

21. Disclaimers

The service is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise.

To the fullest extent permitted by law, FOMI disclaims warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, security, and uninterrupted or error-free operation.

22. Limitation of Liability

To the fullest extent permitted by law, FOMI shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost revenue, lost data, lost opportunities, trading losses, liquidation losses, loss of goodwill, or business interruption.

Total liability shall not exceed the greater of $100 or the amounts paid by you in the prior three months.

These limits apply whether claims are based on contract, tort, negligence, strict liability, statute, equity, or any other theory, even if FOMI has been advised of the possibility of such damages.

23. Indemnification

You agree to defend, indemnify, and hold harmless FOMI, its owners, officers, employees, contractors, service providers, and affiliates from claims, losses, liabilities, damages, costs, and expenses arising from your use of the service, trading activity, exchange accounts, User Content, violation of these terms, violation of law, violation of third-party rights, or misuse of credentials or automation features.

24. Dispute Resolution

Before filing a claim, you agree to contact support@fomi.trade with a written description of the dispute and allow 30 days for informal resolution.

These terms are governed by Florida law, excluding conflict-of-law rules. Subject to any arbitration agreement approved by FOMI in a separate written agreement, any dispute shall be brought exclusively in the state or federal courts located in Florida, and you consent to personal jurisdiction and venue there.

To the fullest extent permitted by law, disputes must be brought only on an individual basis and not as a plaintiff, class member, or representative in a class, collective, consolidated, private-attorney-general, or representative action.

To the fullest extent permitted by law, each party waives the right to a jury trial. Either party may seek injunctive or equitable relief in court to protect intellectual property, confidential information, security, or unauthorized use of the service.

25. Changes to These Terms

FOMI may update these terms from time to time. The updated date will identify the latest version.

Material changes will be communicated by posting the updated terms, email, in-app notice, or another reasonable method where required. Continued use of the service after changes become effective means you accept the updated terms.

26. Force Majeure

FOMI is not liable for delays or failures caused by events beyond reasonable control, including outages, cyberattacks, labor issues, acts of God, market disruptions, liquidity events, regulatory actions, exchange failures, provider failures, power or internet failures, war, terrorism, civil unrest, or emergency conditions.

27. Entire Agreement and Severability

These terms constitute the entire agreement between you and FOMI regarding the service and supersede prior or contemporaneous understandings about the service.

If any provision is held unenforceable, the remainder remains effective, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable where permitted.
